1. The service
GetPassive provides a bandwidth-sharing SDK and earnings infrastructure. Developers integrate the SDK into their applications and may earn monthly amounts based on the qualifying supply they contribute and the demand the network serves. GetPassive Ltd is not responsible for how a developer designs, markets, distributes, or operates its own application.
Where you and GetPassive have entered into a separate written agreement covering your participation in the network, that agreement prevails over these Terms to the extent of any conflict. These Terms continue to apply in all other respects.
2. Developer obligations
- You must ensure clear and prominent disclosure of bandwidth-sharing to end-users through your Terms, Privacy Policy, in-app prompt, or onboarding flow, in a manner appropriate to your platform and jurisdiction.
- You must include the SDK end-user disclosure wording (or substantially equivalent text) in your own Terms and Privacy Policy or in-app prompt. See SDK consent template.
- You must comply with all laws and platform rules in each jurisdiction where your app is distributed.
- The bandwidth-sharing feature is for end-users aged 18 or over only. You must not enable the SDK for users under 18, must not use it in apps directed at children, and must not use it where COPPA, GDPR-K, or equivalent child-privacy rules would prohibit the integration.
- You must not use the SDK to circumvent laws, facilitate illegal activity, mislead users, or interfere with networks or services.
3. Earnings and payouts
Your earnings for each period are determined by the basis that applies to your account: either a rate card issued to you by GetPassive, or a separate written agreement between you and GetPassive. Where a rate card or agreement is in effect for your account, your earnings are calculated on that basis using GetPassive’s measurements of qualifying activity.
Where no rate card or separate agreement is in effect, GetPassive determines your monthly amount taking into account your overall contribution to the network — including the number of active devices and IPs you supply, their geographic and network diversity, device uptime, active duration, country tier, connection quality, valid SDK activity, and consent status — together with the level of customer demand routed through the network in that period. In that case these factors are weighted together at GetPassive’s discretion and no single factor determines your earnings.
Rates and weightings vary by country tier and may be adjusted. GetPassive will give you at least 30 days’ notice before any change that reduces the rates applying to your account. The figures shown in your dashboard are estimates until they are finalised and paid, and GetPassive’s total liability for any period is limited to the amount it finalises as payable to you for that period.
We may withhold, adjust, or reverse earnings connected to fraudulent, automated, duplicate, abusive, or non-consented activity.
- Earnings and payouts are calculated monthly.
- The minimum payout threshold is USD $10.
- Payouts are made via Stripe Connect where available, or via a supported cryptocurrency (for example USDC) through our crypto payments processor.
4. Intellectual property
GetPassive Ltd owns the SDK, network software, documentation, trademarks, and related intellectual property. You receive a limited, non-exclusive, non-transferable, revocable licence to integrate the SDK only in approved applications.
5. Termination
Either party may terminate with 30 days' notice. GetPassive may suspend or terminate immediately for fraud, security risk, illegal activity, policy breach, or failure to provide adequate end-user disclosure. Valid outstanding earnings will be paid within 60 days of termination, subject to fraud and compliance review.
6. Liability
To the maximum extent permitted by law, GetPassive Ltd's total liability is capped at the earnings paid to you in the three months before the event giving rise to the claim. We are not liable for indirect loss, loss of profit, platform removal, app store action, user complaints, or your failure to comply with law.
7. Acceptable use
You must not use GetPassive for unlawful scraping, credential attacks, spam, malware, denial-of-service, evasion of law enforcement, or any activity that harms users, networks, or third parties.
8. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
